Terms of Service

1. Acceptance of Terms

By accessing and using Calatrix, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use Calatrix. We may update these terms at any time. Your continued use of Calatrix after changes signifies your acceptance of the updated terms.

2. The Service

Calatrix provides automated campaign management tools for Shopify merchants running Meta (Facebook/Instagram) ad campaigns. Calatrix:

• Analyzes campaign performance data from Meta Ads API and Shopify.
• Generates automated recommendations for kill rules (pausing losing campaigns) and scaling (increasing budgets for profitable campaigns).
• Executes these rules automatically per the configuration you set.

Important: Calatrix is a tool and service provider. While we automate recommendations and rule execution, you remain responsible for your advertising decisions and ad spend. You should review kill and scaling rules before they execute, and you may manually adjust or disable rules at any time.

3. Your Account

• You must be 18 years or older to use Calatrix.
• You are responsible for maintaining the confidentiality of your login credentials and password.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at support@calatrix.com if you suspect unauthorized access.
• One account per merchant unless otherwise agreed with us in writing.

4. Acceptable Use

You agree not to:

• Use Calatrix for illegal activities or in violation of any law.
• Attempt to gain unauthorized access to Calatrix systems or data.
• Reverse engineer, decompile, or attempt to discover the source code or trade secrets of Calatrix.
• Use Calatrix to access or collect data not intended for you.
• Share your access tokens, credentials, or account access with third parties.
• Harass, threaten, or abuse our support team.

Violation of these terms may result in suspension or termination of your account.

5. Shopify and Meta Integration

By connecting Calatrix to your Shopify store and Meta Ads account:

• You authorize us to access the data and perform actions via the Shopify and Meta APIs.
• You are also subject to Shopify's Terms of Service, Privacy Policy, and API terms.
• You are also subject to Meta's Platform Terms and Data Use Terms.
• You grant only the minimum scopes required for Calatrix to operate.

We are not responsible for Shopify or Meta's operations, downtime, or policy changes.

6. Billing

• Calatrix is a subscription service billed monthly.
• Billing will commence on the date you select your plan.
• You will be charged on a recurring monthly basis until you cancel.
• Cancellation takes effect at the end of your current billing period. No refunds for partial months.
• We may change our pricing with 14 days notice. Changes apply to future billing periods.
• You are responsible for keeping your payment information current.

7. Disclaimer of Warranties

Calatrix is provided on an "as-is" basis.

We do not guarantee:

• That Calatrix will achieve specific ad performance outcomes or ROI.
• Uninterrupted or error-free operation.
• That recommendations will be correct for your specific business.

Ad spending decisions are ultimately yours. Use Calatrix at your own risk.

8. Limitation of Liability

To the extent permitted by law, Calatrix's total liability for any claims related to the service shall not exceed the fees you have paid to us in the three (3) months prior to the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or business.

9. Changes to the Service

We may change, suspend, or discontinue Calatrix at any time. We will provide 14 days notice of material changes via email. Emergency changes (security, legal compliance) may be made immediately.

10. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your subscription and access to Calatrix will end at the end of the current billing period.
• We will delete your data within 30 days (except data required by law).
• No refunds for partial periods.

We may terminate your account immediately if you breach these terms or engage in illegal activity.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of the Netherlands.
